CODE OF CONDUCT

1. INTRODUCTION
1.1 Objective
This Code of Conduct defines and provides the basic principles of Code of Ethics and Rules of Conduct for Consumer / Independent Distributors (in short may be referred as “Distributor”) of RMP INFOTEC PRIVATE LIMITED. It includes the Policy, Systems & Procedural working for development of RMP Business in a clear and proper way.
It will be applicable in all locations of RMP. This Code of Conduct is applicable to all the Owners of the Consumers / Distributors of RMP, whether new or existing and shall include Prospective Consumers / Distributors also.
1.2 Our Vision

To create more and more employment opportunities. To create Brand awareness across India. To develop Income opportunities that improves economic status of India.

1.5 Code of Conduct as a Process
RMP is built as a network of people introduced by you. It is People Process Organization. The process of developing this network is outsourced to the Independent Business Owners – The INDEPENDENT DISTRIBUTORS our PPO Owners.
The purpose of the "Code of Conduct” is to establish, wherever practicable, uniform policies and procedures for all RMP Distributors.
The Company reserves the right to vary any provision of this Policy Manual at any point of time. This Code of Conduct is designed to assist Management by clarifying and communicating to the Distributors, the Company's expectations in terms of the Code of Conduct of the Distributors and procedures to be followed on matters affecting them.
Where a case is not covered by this Code of Conduct, the same should be brought to the attention of the Management in writing. In this way we hope to gather further information from practical cases so that the Code of Conduct Policy Manual may be kept up to date on a continuing basis.
The terms ' he / him / his ', used for convenience throughout the Code of Conduct, should be interpreted as applying to both genders and do not imply any discrimination / prejudice on the part of RMP.
The stated purpose of the Code of Conduct almost dictates that the content may appear more procedure than people oriented, but it is an unavoidable reality that every organization requires certain “rules” to ensure adherence to core values and related behavioural standards.
The Code of Conduct is drafted in the context of RMP mindset which requires that our Distributors:-
• Have a common way of thinking about the RMP’s Free and Optional Business Opportunity.
• Think about business situations in an integrated way.
• Understand and Start RMP Distributorship.
The key words here are TRUST, EMPATHY and EFFICIENCY.

This manual has been produced by RMP for the guidance and orientation of our Independent Distributors. None of the benefits or policies in this manual is intended by reason of publication to confer any rights or privileges or to entitle you to be or to remain to be Distributor of RMP. The contents of this manual are presented as a matter of information for our Distributors engagement only.
Certain rights and responsibilities are imposed on RMP by state and other legislations, as well as, court decisions. Many of these have implications for polices and procedures governing distributorship. For this reason, please be advised that RMP hereby reserves any and all management rights regarding Distributors status. These rights and responsibilities include, but are not limited to, the following:
• To manage and direct RMP Distributors, including admission, transfers, assignment, or retention of Distributors within RMP and to establish work rules
• To discharge or take other appropriate disciplinary action when necessary
• To develop responsibilities, bearing in mind that such descriptions are usually guidelines and not rigid limitations, and that Distributors shall perform any reasonable assigned targets
• To introduce new or improved facilities or to change existing facilities
• To fulfill obligations in contracting out for matters relating to the operation of RMP
• To discontinue certain operations guidelines
This Code of Conduct is for use by the Customers / Independent Distributors of RMP INFOTEC PRIVATE LIMITED and will be exclusive for RMP only. Information contained here is confidential to RMP and shall not be disclosed to others unless and otherwise as directed by the Management.

2 ACCEPTANCE TO CODE OF CONDUCT
2.1 Applicability
This Policy Manual on Code of Conduct shall be applicable to all the Customers / Independent Distributors whether new, existing and prospective Distributors. This shall be applicable to all location of RMP INFOTEC PRIVATE LIMITED irrespective of the any Strategic Business Units.
2.2 Access to Code of Conduct
   2.2.1 RMP Management shall ensure the due communication of the release of the Code of Conduct.
   2.2.2 This Code of Conduct hard copies duly printed shall be available for access to the Distributors at the registered office of RMP.
   2.2.3 The soft copy of the same shall be made available in the Company’s official website "www.rmp-infotec.biz”
   2.2.4 The updates to this Policy Manual will be kept posted in the Company’s Official website and hence Customers/Independent Distributors are requested to keep visiting our website regularly.
2.3 Acceptance
2.3.1 New Customer / Distributor
Every New Distributor shall be made to read and accept the Code of Conduct before being approved for Independent Distributorship.
As part of the Starting Formalities, the same shall be made compulsory in the web-access enabling. Independent Distributors will be allowed to activate their Distributorship only on due acceptance.
2.3.2 Existing Customers / Distributors
Every existing Independent Distributor is requested to have regular access to the website and to read and understand the Code of Conduct and to follow the same.
2.4 Acceptance for due changes
Acceptance shall include any due changes effected to this Code of Conduct manual and all changes shall be considered to have been communicated if published in the company’s official website and the same is read and accepted.
2.5 Basic Principles
Every Distributor as the owner of their RMP Independent Distributorship agrees to conduct RMP business according to the laid down Basic Principles of Code of Conduct
• Work towards a TEAM – Together Everyone Achieve More.
• Treat everyone equally with courtesy
• Respect the Code of Conduct and abide by the same
• Be Truthful and honest
• Keep the standards of RMP always high and maintain their own identity
• Always follow TRUST, EMPATHY and EFFICIENCY

3 DEFINITIONS
In this Code of Conduct the words and phrases used are defined for the purpose of clarity and meaning as given below:-
3.1 RMP
“RMP” means and include the entity of M/s. RMP INFOTEC PRIVATE LIMITED, a Company registered under the Companies Act of 1956, having its registered office at F-1, First Floor, Apollo Dubai Plaza, No. 100, Mahalingapuram Main Road, Chennai – 600 034.
Any communication in this regard will be considered to have been issued to RMP only addressed to this registered office. All other offices of RMP and its Branches/Outlets shall be considered as Operational offices for logistic support and shall not be the point of communication unless and otherwise as specified by the Company and as required by the local laws.
3.2 RMP Business
“RMP Business” means and include the rights, duties and privileges of a RMP Independent Distributor to conduct business of RMP as its Business Representative as defined and provided in the RMP BIZ-KIT. The same shall include but not limited to the Code of Conduct.
3.3 RMP Products
“RMP Products” means and include the commodities, goods, services, rights and other entitlements including literature and other auxiliary materials, made available to RMP Distributors by the RMP as per the obligations under the agreement for Distributorship.
This shall not include any promotional gifts and other materials supplied by RMP to its Distributors for use while executing their business.
3.4 BIZ-KIT
“BIZ-KIT” means and include the Business Promotion Kit designed, developed and hosted by RMP on their official website and duly distributed under the authority of the Management for due enrolment into the RMP Business. This shall include Training Materials and other Motivational Tools which are duly approved and regulated. This shall not include any indigenously developed business presentations and other materials by the Distributors or other unapproved materials.
3.5 Business Centre / Back Office
Every Customer / Independent Distributor of RMP is provided with virtual Business Centre, through which they can carry on RMP Business. This Business Centre will have validity of 30days for customer to decide whether he is willing to do RMP Business, which is free and optional and for Independent Distributor it has validity of one year and after which it has to be renewed.
3.6 Body Corporate
“Body Corporate” wherever the context refers to means and includes the following:-
• Partnership Firms
• Companies registered under Companies Act of 1956
• Trusts under the Trusts Act
• Co-operative Societies – Under the Societies Act
• Others – Other institutions not specified above
3.7 Business Year
“Business Year” wherever the context refers to means and includes the One year of Distributorship registration into the RMP Business by each individual Independent Distributor.
The Business Year starts with the date of Starting or date of renewal of their individual Distributorship and shall conclude on the date of completion of one full year of English Calendar. This is normally 365 days except in the case of a leap year.
The both dates of Starting / renewal and the conclusion dates shall be included for the purpose of due consideration at all times. The above Business Year shall not include any lapse on the part of the due renewal. On such cases the Business Year starts for only from the effective Renewal date.
3.8 Code of Conduct
“Code of Conduct” shall mean this Code of Conduct for Customers / Independent Distributors which can be changed or modified by RMP from time to time, as provided.
3.9 Corporate Authorization Form
Distributorship under RMP is open to all, as it is free and optional. Apart from individual public, body corporate can also become Distributors of the RMP Business. In such case the Authorization from the Body Corporate for due registration under RMP Business is a must. “Corporate Authorization Form” provides the authorization for Body Corporate. The Corporate Authorization Forms shall be filled and submitted to RMP by all the members of the Body Corporate or by an Authorized Representative with appropriate authority under the Board Resolution.
Any act of such Authorized Representative shall be biding upon the Body Corporate on all aspects, including but not limited to this Code of Conduct.
3.10 Cross Selling
“Cross Selling” means and include any act by the Distributor towards selling, marketing, developing the contacts for due promotion of RMP Business to a Distributor in other Lines of Sponsorship.
3.11 Customer Care @ RMP
Customer Care Help Desk is provided for all Distributors and General Public @ RMP. They work during the general office working hours (i.e., 09.30am – 06.30pm) and Sunday Holiday.

3.12 Consumer and Independent Distributor
“Consumer” means any Applicant of Individual (who attained the age of 18years & above) / Company who/which buys the Product/Services of the company and can opt to get converted to Independent Distributor at any point of time, as the RMP Business Opportunity is free and optional. “Independent Distributor” (in short may be referred as Distributor or ID) means shall be a person, who buys product and joins RMP Business Opportunity, by submitting a properly filled in application on the requisite format, accepting to be a part of the free & optional RMP Business and by accepting Terms and Conditions as specified in company’s official website “www.rmp-infotec.biz” (in short may be referred as “site”) Distributors are considered as Independent Business Owners developing the RMP Business under the Network Marketing plans of RMP Business. The terms of the Distributorship are as per the agreement signed between RMP and Distributor. There is no employer & employee relationship under these agreements.
3.13 Sponsor/Enroller
“Sponsor or Enroller” means an Independent Distributor who introduces a Prospective Distributor for authorization as a Distributor. Such prospective applicant becomes a Distributor by virtue of RMP’s acceptance of his Distributor Application.
3.14 Distributor Application
“Distributor Application” means and includes all the part and parcel of the Form duly filled by prospective Distributor for taking up the RMP Business Distributorship.
3.15 Line of Sponsorship
“Line of Sponsorship” shall mean and include in an ascending manner the Sponsor of a Distributor, the Sponsor’s Sponsor, and so forth and shall end at RMP.
3.16 Lapse Period
“Lapse Period” shall mean and include the period between the due date of renewal and effective renewal date.
3.17 Market
“Market” means the territory of India and such additional territories as may be added by RMP from time to time either within India or outside India.
3.18 Renewal Period
“Renewal Period” refers to the period of one English Calendar Year (Both start and end dates included) and shall commence from the day when the applicant (Consumer/Independent Distributor) is registering in the company website and the application of the Product Purchaser on the requisite format is received by the company and subject to the payment received or to be received within the specified period. The renewal period may be renewed by the company for another year(s) when an Independent Distributor meets the criteria of minimum purchase of products or as the condition may be as determined by the company from time to time and if the Distributor is fulfilling any criteria as defined by the company systematically, the Renewal will happen automatically. Distributor will have option at any point of time to exist from the RMP Business Opportunity, by fulfilling the required documentation and serving a letter to our customer care department.

4 BECOMING A DISTRIBUTOR
4.1 Eligibility Criteria for Individual Public
To become a Distributor of RMP Business, one must have the following eligibility criteria:-
• Must be above the age of 18 years
• Must be with good health and be able to undertake the RMP Business
• Must have understood clearly the usage of company products and the free Business Opportunity
• Must have read through and understood the company’s Business Terms, agreement, privacy policy, terms of website usage, code of conduct, etc.,
• Must not have been forbidden by law to enter into any agreements
• Must not have been associated with any institutions which are forbidden by the law of the land
• Must possess a valid PAN No. under the Income Tax Act, 1961
• Must not be a Distributor, Member, and Sponsor, of any competitive Business Body Corporate
• Must not have been rejected Distributorship by RMP within the last 6 months.
4.2 Eligibility Criteria for Body Corporate
To become a Distributor of RMP Business, a Body Corporate must have the following eligibility criteria:-
• Official Address with proof of address duly submitted to RMP
• Must have been into existence with an Operative Bank Account
• Must have the PAN Number as per Income Tax Act of 1961
• Must have understood clearly the usage of company products and the free Business Opportunity
• Must have read through and understood the company’s Business Terms, agreement, privacy policy, terms of website usage, code of conduct, etc.,
• In the case of Trust, Association, Co-operative Society, Companies Registered under the Companies Act of 1961 - Must have the Board Resolutions to enter into the RMP Business
• The Board Resolutions shall also authorize the representatives with specimen signatures
• In case of Partnerships, the Deed of Partnership must be submitted
• Must not be an illegal association or an institution forbidden by law
4.3 Equal Opportunity
RMP is an Equal Opportunity provider. There will not be any discrimination made in terms of the following for due grant of distributorship.
• Age – subject the legal requirements
• Race, Caste and /or Religion
• Colour
• Sex
• Nationality
• Political beliefs
4.4 Application & BIZ-KIT
A prospective Distributor can become the RMP Independent Distributor as referred by the Sponsor by:-
• Buy the BIZ-KIT, understand clearly the RMP’s product offer and it’s free and optional Business Opportunity
• Fill, sign and submit the application for Distributorship
4.5 No Cash Payments
All payments to RMP towards purchase of products shall be entertained only by Demand Draft favoring M/s.RMP INFOTEC PRIVATE LIMITED, payable at Chennai.
Neither Authorized Representatives nor the Sponsors are authorized to collect cash from the general public or prospective Distributor.
RMP shall not be held responsible for any cash paid to anyone including their Distributors / Sponsors for any promises made by them on their individual capacity. General public are kindly advised to contact the RMP Customer Care.
4.6 Approval of Application
Every application for Independent Distributorship is subject to approval process by the Management of RMP INFOTEC PRIVATE LIMITED. RMP reserves the right to accept or reject any application for Distributorship without any obligation to give the reasons. The Management decision is final.
4.7 Authorization Date
An application shall be considered accepted when the online web access is generated with www.rmp-infotec.biz. The Date of due generation of the online access will be considered for the one year validity.
Due communication of Growth Plan cut-off of the online access will be made by the RMP Operations Team to the Distributor. For any queries on the online access please contact the Customer Care.
4.8 Validity of Distributorship
Membership to the RMP Business Distributorship is valid for one Business Year. Subsequent validation is subject to due renewals as per the terms prevailing at the time of Renewal and subject to company decision.
4.9 Renewal
Every Distributor Business Centre is liable for renewal. The Renewal process is automated and Distributor has to fulfill the criteria as fixed by the company from time to time.
4.10 Automatic expiration
If a Distributor does not renew his RMP Business Centre within the renewal date or his renewal request is not accepted by RMP Management his RMP Business Distributorship shall automatically expire
RMP will not be able to provide any further online access after expiry of Distributorship.
4.11 Refusal of Renewal
The decision of RMP Management for due renewal shall be final and be binding on the Distributors for due renewal requests. RMP reserves the right to refuse any renewal request and can revoke any Distributor’s renewal application if, in its opinion, the Distributor’s activities have been forbidden by the Code of Conduct of RMP.
4.12 Withdrawal of Distributorship
An Independent Distributor can cancel his RMP Business at any time by sending a letter to RMP’s Customer Care Department with expression of his intensions to withdraw from the RMP Business with a copy to his Sponsor.
4.13 Termination of Distributorship
RMP will have every right to terminate the Distributorship of any individual or a group of Distributors for reasons of any misconduct or violation of the Code of Conduct as laid down here.
In such cases the Distributorship is terminated with immediate effect and due clearance of the settlements are made only after proper verifications of the effects / causes made by such misconduct or violation.
RMP will hold back any payments due to such terminated Distributors for any act committed either willfully or by knowingly, either in individual capacity or in group anything against the interest of RMP Business.
The Decision of the RMP Management shall be final and binding on the Distributor in case of any terminations.
4.14 Application by Former Distributors
A former Distributor has to request to be authorized as a new Distributor, which is subject to the management decision to accept the same.
4.15 Informal Partnerships
In the case of an informal (unregistered) partnership, the RMP Distributorship shall be only under the names of the individual partners and not under a business name that the partnership might use for other transactions. Under no circumstances company will not held responsible if any disputes arises among the partners.
4.16 Body Corporate
Distributorship under RMP Business is open to all, as it is free and optional. Individuals, partnership forms, corporations, institutions, co-operative societies, etc. RMP will require such Distributorships to comply with the following conditions to become a Body Corporate Distributorship,
• The Body Corporate must file with RMP a Corporate Authorization Form along with the authority under the Board Resolution.
• All partners, shareholders and Directors shall personally and irrevocably guarantee due performance by the partnership firm / company of all of its obligations and responsibilities as a Distributor especially those outlined in the Code of Conduct of RMP as set forth from time to time.
4.17 Spouses as Distributors
RMP welcomes the idea of Dual Distributorship for the purpose of Family members. Both Husband and Wife can take individual Distributorship under RMP Business.
4.18 Maximum Distributor ID
RMP limits the maximum Distributorship which a person can hold is up to 3Id’s.

5 ROLES & RESPONSIBILITIES OF DISTRIBUTORS
5.1 Abide by the Code of Conduct
All Customers / Independent Distributors has individual and collective responsibility to abide by the code of conduct of the Business of RMP. At all times, Distributors must adhere strictly to the guidelines, systems, procedures and policies mentioned in the Code of Conduct and further communications enclosed in the BIZ-KIT.
Individual Distributors must also take the ownership to keep the management informed of any deviations happening within their Line of Sponsorship to the defined Code of Conduct.
The discipline in RMP and the success of RMP Business is a collective responsibility of each and every RMP Distributor.
5.2 Avoid and prevent Cross Group Selling
No Distributor shall engage in Cross-Group Selling. In order to be eligible for the various monetary and nonmonetary benefits available through the RMP, a Distributor in one Line of Sponsorship must buy all of his RMP Products, Services and Supplies directly from RMP (or from his or her Sponsor). RMP expressly forbids Distributors to buy RMP Products from Distributors who are not their Sponsor. Cross Selling is against the Ethics of Code of Conduct of Distributorship in RMP.
If the Management feels that any Distributor had involved or canvassed for Cross Group Selling and the same is proved, the Distributor is subject to termination with immediate effect. The decision of the management in implementing the Code of Conduct shall be final and binding on the Distributors.
5.3 Retail Display and Sales
No Distributor shall permit RMP Products or services to be sold or displayed in retail stores, schools, fairs, ships or military stores; nor shall he or she permit any RMP product to appear in such locations even if the RMP product or services themselves are not for sale. No RMP literature shall be displayed in retail establishments.
A Distributor who works in or owns a retail store must operate his or her RMP business separate and apart from the retail store. Such Distributors must secure customers and deliver products to them in the same manner as RMP Distributors who have no connection with a store.
Other types of retail establishments, which are not technically stores, such as barber shops, beauty shops, or professional offices, etc., likewise may not be used to display RMP Products, information about RMP services, or RMP literature.
Further, Distributors may not use mass communication methods such as television merchandising channels, computer networks, national or international advertising, etc., to secure RMP customers.
5.4 Truthful and Accurate
Distributors shall not make false or exaggerated claims about RMP Business, Products or Services to promote the RMP Business. No Distributor shall make any offer to sell any RMP product which is not accurate and truthful as to price, grade, quality, performance, and availability.
If it is proved by the Management that the Distributor had made unrealistic promises and had induced any prospective Distributor, the damages caused to RMP shall be deducted from the Distributor Payouts if necessitated.
5.5 Repackaging
Customers / Distributors are not allowed to re-pack the products of RMP and are requested to check the product at the time of taking delivery itself.
5.6 Customer Complaints
Distributors are advised to educate the Customers about the Customer Care and lodge any complaints on the RMP Products and Services. Distributors are not authorized to make any type of offer or compromise or render RMP liable for any complaint or product return.
5.7 Indemnity
Every Distributor indemnifies RMP for any claim, legal actions, suit, etc. (including RMP legal fees) which are filed or which originate because of any failure by the Distributor to observe this Code of Conduct.
5.8 Compliance of Law of the land
Distributors shall comply with all laws, regulations and codes that apply to the operation of their RMP Business wherever said and conducted within the defined frame work. And they must not conduct any activity that could jeopardize the reputation of the RMP Business.
Applicable laws, regulations and codes vary from one place to another and it will be the responsibility of the Distributor to be aware of the same and conduct accordingly.
A distributor by signing the Distributorship Application and agreeing to abide by the Code of Conduct hereby indemnifies the RMP against any losses including the legal claims and expenses.
No Distributor shall engage in any deceptive or unlawful trade practice as defined by the statute.
5.9 Unlawful Business Enterprises or Activities:
All Distributors are forbidden by the law from engaging themselves from any unlawful business.
If an initial or renewal application for an RMP Distributorship is presented to RMP by a person who operates, or is engaging or participating in, any illegal or unlawful enterprise or activity, RMP may decide to reject such applications.
Failure on the part of the existing Distributor to prove himself shall result in termination of the Distributorship.
Under such circumstances Distributor shall lose all the rights and privileges of an RMP Distributor.
5.10 Professionalism:
RMP is a professional organization made of People and for the people. Every individual Distributor is considered to be the Business owners of their part and need to exhibit the professional approach to each and every activity.
Professionalism is a continuous act and every Distributor conducts him or herself in a courteous and considerate manner and shall not engage in any pressure selling.
5.11 Employment Relationship
Distributors cannot become employees of RMP. RMP Employees cannot become Distributors of RMP Business.
No Distributor shall represent that he or she has any employment relationship with RMP or any of its affiliated companies and/or other Distributors.
False representation as to the nature of the relationship as employee shall be deemed to have committed act against the Code of Conduct and registration is subject to be terminated with immediate effect.
Distributors are required to indemnify RMP for the cost of any damage or prejudice from such false representation, including any legal fees RMP may have incurred.
RMP Distributors are independent Distributors operating their own businesses. They shall not imply that they are employees of RMP, nor shall they refer to themselves as “agents,” “managers,” or “company representatives”, nor shall they use such terminology or descriptive phrases on their stationery or other printed material.
Identity card issued by RMP is only for the purpose of identification while communicating with the RMP Offices, Meetings, Seminars and etc. The same shall not be considered as Employee Identity.
5.12 Franchising
No Distributor shall represent to anyone that they are exclusive franchises or territories available under the RMP Business Plan.
RMP approval in writing shall be obtained for any Franchising or otherwise.
5.13 Non-RMP Selling Activities
Distributors of RMP Business can engage in other business / professional activity, but the RMP Distributors / activities / events should not be used to promote such personal business / profession.
Spouses having Distributorship independently shall be accountable independently and held accountable for the actions of the other so far as the Rules are concerned. RMP reserves the right to terminate the Distributor’s authorization as in the event of any spouse becoming the Distributor of the competitive company.
5.14 Line of Sponsorship and change
Under no circumstances the Distributors are allowed to change the Line of Sponsorship. This change is not allowed whether it is direct, indirect, induced or otherwise to start a new business in their own name or any other persons of direct blood relation.
Change of Line of sponsorship will not be permitted even if there is a willful act of non-performance for the past 6 months.
5.15 Material Modifications
Distributors are not allowed to manipulate and change any of the RMP Business Plans, and BIZ-KIT, business reference guides or information in any other form.
5.16 Spamming
RMP prohibits its Distributor from sending messages to any one and spamming through e-mail. No Distributor shall send, transmit or otherwise communicate any unsolicited e-mail messages to persons with whom the Distributor does not have a pre-existing personal or business relationship. (This includes, but is not limited to, sending e-mails through newsgroups, purchased mailing lists, “safe lists”, or other lists of individuals or entities with which the Distributor does not have a relationship).
5.17 Employment Posting
No Distributor is allowed to post any offer for Distributorship Employment in any form of media or through the websites.
5.18 Non-Disclosure Agreement
All Distributors of RMP shall abide and agree to the Non-Disclosure Agreement to maintain the confidentiality of the Business of RMP.

6 ROLES & RESPONSIBILITIES OF SPONSORS
6.1 Do’s
* Sponsors should ensure that the new customer get a BIZ-KIT before enrolling in to RMP Business Opportunity
* Shall abide by the Code of Ethics and Code of Conduct in its true spirit and shall also monitor the same with his Line Distributor.
* Shall train and motivate the Line Distributors under his organization
* Must encourage and attend RMP Business Meetings along with his Distributors
* Must be available for due consulting and suggestions as required by the Distributors
* Must clearly explain the product features and has to make ensure that customer buys the product and then explain about the Business Opportunity, as it is free and optional
6.2 Don’ts
* Must not alter or change any of the Business Kit information
* Must not mis-represent any material fact
* Must not get deviated from the policies or code of conduct set by the company
* Must not do any forbidden activity as mentioned in this Code of Conduct
* Must not force anyone to join under RMP Business Opportunity
* Must not try to canvas for Cross Selling
* Must not interfere with the other Line of Sponsors Distributors to snatch
* Must not indulge in any wrongful activity including but not limited to false commitments/complaints, which could have any adverse effect upon the RMP business or another distributor.
6.3 Training
Training his own line of Distributors forms the major role and responsibility of the Sponsor. If the Sponsor is unable to provide the adequate training to the new Distributor he shall consult his up line and do the needful. Else he can always contact the customer care to provide additional training facility.
6.4 Sponsor to Distributor – No Employment relationship
Sponsor shall not represent that there is an employment relationship with the Distributor. He shall be the mentor for him and not the boss.
6.5 Attendance to Meetings
Sponsor shall be responsible for the Distributor’s attendance to the meetings. He shall monitor the Distributor’s attendance personally.
Continued absence from the meetings will lead to disqualification of the Distributorship.
He should use his best efforts to encourage each of his personally sponsored Distributors to fully comply with the Code of Conduct.

7 TRANSFER OF DISTRIBUTORSHIP
If at any given point of time the Distributors want to change the Line of Sponsor, the same is possible only under the Supervision and approval of the Management of RMP.

8 SIX MONTHS INACTIVITY
To change the Sponsor line, one must resign from his Distributorship and be inactive for 6 months and then join under another Sponsor. The new Sponsor should not have been part of his Original Line of Sponsorship either above or below him during the past 2 years.
Inactive period begins from the Date of Acceptance of Resignation. Meaning of Inactivity shall be – no purchase / sale of RMP products, no sponsoring of prospects and no attending of RMP / Distributors meetings.

9 RE-ENTRY AS DISTRIBUTOR
An inactive Distributor is eligible to re-apply for Distributorship. Under the application, the process is same as a New Distributor. He / She shall comply with all the requirements of the Distributorship Eligibility.
On the Due approval of the re-entry as Distributorship a new log-in is created and the new Business year is validated.
All the other terms and conditions remain the same including this Code of Conduct and the Distributorship is subjected to be terminated if there is a wilful committing of any act forbidden by the Code of Conduct.

10 NO POACHING
A Distributor who transfers to, or who, following six months of inactivity, applies for Distributorship under a different Sponsor pursuant to the provisions of this Code of Conduct, shall have no right to sponsor in his new Line of Sponsorship any Distributor who was previously above or below him in his original Line of Sponsorship.
However, a Distributor who has been inactive for a period of two years may be sponsored by any Sponsor, including his former Sponsor who may have since been transferred to or re-sponsored by a different Sponsor.

11 SPONSORING GUIDELINES
In promoting the RMP Business the Distributors shall comply with the following guidelines:-
• May disclose the average profits, earnings, and sales figures and percentages as published from time to time by RMP management.
• Must use only RMP-produced and RMP-authorized literature.
• May cite lifestyle examples, e.g. travel, automobile, homes of successful Distributors, and contributions to charitable causes, provided such benefits were actually accrued as the result of building a successful RMP Distributorship.
• Mention words like “RMP enables you to explore your potential”.
• Must make understand of the features and benefits of the product and to be clear that RMP is in to Product Selling and not Opportunity Selling.
• Must not promote the enjoyment of tax benefits as the best or principal reason for becoming an RMP Distributor.
• Must not say that RMP is a “get-rich-quick” opportunity in which it is easy to achieve success with little or no expenditure of effort or time.
• Must not present the Plan or solicit participation in the Plan through mass mailings, telemarketing, national advertising, computer communications, or any other means by which person-to-person contact with the prospect is not present.
• No Distributor shall represent that there are exclusive territories available under the RMP Business Plan.
• Must not make false commitment regard earning in the meeting / training.

12 USE OF THE RMP TRADE NAME, TRADEMARKS, AND COPY RIGHTED MATERIALS
All use and display of the Trade Name, Trade Marks and Copy righted materials are centralized and controlled by the registered office. Use of the same shall be under the supervision and authorization from the Management.
RMP reserves the right at all times to withdraw permission to display the RMP name if the standards stated are not met, if proper standards of neatness, good taste, or ethical operation are not met, or for any reason prejudicial to the interests of RMP Distributors or RMP, of which RMP shall be the sole judge.
While using the RMP Trade name, Trademarks and Copy righted materials the terms and conditions and rules under the Trademarks Act shall be complied with. Nothing in this Code of Conduct shall supersede the law of the land.

13 DEATH AND INHERITANCE
In the case of the death of a single Distributor:-
• Information to the RMP will be the responsibility of the Legal Heir of the deceased Distributor
• All final settlements will be made as per the law and shall be initiated on due receipt of the Legal Heir Certificate, Death certificate
• Due reference will be made to the Nominations made by him while applying for the Distributorship with RMP
• On the death of the Distributor the option is given to the Legal Heir to continue the Distributorship

14 TERMINATION
Distributorship under RMP Business is subject to termination with immediate effect on the following conditions:-
• Committing or organizing to commit any act forbidden by the Code of Conduct
• Communicating or promoting anything against the Ethics and Logics of RMP Business
• Any deviation find in following the Distributorship terms or policies or code of conduct
• Willful non-disclosure of materials facts in the application
• Hiding of material facts which are against the Code of Conduct
• Committing any act which is unlawful
• Declared bankrupt
• Not mentally sound enough to handle the business
• Mis-representation of material facts to induce new sponsors
• Body Corporate being dissolved
